How the group is governed
UGM-Group LLC is a New Mexico Limited Liability Company, member-managed, formed under NMSA 1978 Ch. 53 Art. 19. Governance is exercised by its Members and a dedicated management team, within the framework set by the Operating Agreement.
Scope of the holding
Strict holding company
UGM-Group holds and oversees the equity stakes in its subsidiaries. It does not directly conduct commercial activity with external clients, other than management, oversight and consulting for its own subsidiaries.
Intra-group billing
UGM-Group invoices its subsidiaries for shared services (management, legal, administrative support) and keeps the group's consolidated accounting.
Group compliance
Beneficial owners disclosed to FinCEN (Corporate Transparency Act). Governance formalized through New Mexico-law Articles of Organization and an Operating Agreement.
